2. General Provisions
(A) Eligibility
2.1 By using our Services, you confirm that you (i) are older than 16 years and have the legal capacity to enter into a binding agreement of this type, (ii) will provide true, accurate, current, and complete information where requested, and (iii) will not use the Platform contrary to these Terms or applicable laws. If you register for or use the Services on behalf of a legal entity, you further confirm that (i) you are authorized to accept these Terms, (ii) you are authorized to bind that legal entity by accepting them, and (iii) the legal entity has full power to enter into this Agreement and perform its obligations.
2.2 The Platform or parts of it may be accessed globally, and we may not control who uses it. It is your responsibility to assess whether your use of the Platform complies with your local laws. If any part of the Platform is not compatible with your local laws, you agree to stop using it. Some Services may not be available in your region, and you agree to abide by such limitations.
(B) Scope of the Services
2.3 SDS Manager provides the Products and related Services through the Platform. These Terms apply to all Products and Services, whether free or paid. We continually improve our Platform and may add, remove, amend or upgrade Services from time to time. A description of each Product is available on the Site.
2.4 Some Services require an active account or are subject to payment. You may register an account by completing the registration process.
2.5 SDS Manager does not guarantee that the Content on the Platform is correct or accurate. Content may contain errors or be out of date, and the Platform may experience bugs or malfunctions. You are strongly advised to do your own research before relying on the Content. Although we take measures to keep Content valid, we do not accept any responsibility for it.
2.6 You are responsible for the data you enter into the Services and for reviewing and approving any safety data sheet, label or document you create, author, translate or distribute using the Services before you use or share it.
2.7 SDS Manager cannot guarantee that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis, or that they will be operational 100% of the time. Services may be down (i) for scheduled maintenance, (ii) because of force majeure events, (iii) for specific Users because of account suspension or termination, (iv) because of internet problems outside SDS Manager's control, or (v) because of bugs in code, hardware or Services without a commercially known fix.
(C) Registration
2.8 When registering on or otherwise interacting with the Platform, you must provide true, accurate, current, and complete information about yourself as prompted. You agree to update your information if it changes. If you provide information contrary to these conditions, we may deny or terminate your access to all or part of the Platform. We are not responsible for any failure to provide the Services that results from inaccurate or incomplete information.
2.9 You are responsible for keeping your login information confidential and for all activity under your account. If you find out or suspect that someone accessed your account without authorization, inform us immediately.
(D) Subscription, Renewal and Cancellation
2.10 Paid Services are offered as monthly or annual subscriptions. Subscription plans, their scope and limitations are described on the Site. A subscription period starts on the day the subscription fee is processed (Start Date) and ends on the same day of the month in which the selected period expires. If that month has no matching date, the period ends on the last day of that month.
2.11 Your subscription renews automatically at the end of each subscription period for the same duration, unless you cancel before the renewal date. The fee for the renewed period is calculated according to the prices in effect forty (40) days before the current period expires.
2.12 You may cancel your subscription at any time before the renewal date. Cancelling stops the next renewal, and you keep access until the end of your current subscription period. If you do not cancel before the renewal date, the subscription renews and the new period runs in full. A renewed period cannot be cancelled or refunded part-way through.
2.13 To cancel, use the subscription page in your account or email support_en@mail.sdsmanager.com. A request to delete your account also cancels your subscription. Email and deletion requests must reach us before the renewal date. Removing users or stopping use of the Services does not cancel your subscription.
(E) Acceptable Use Policy
2.14 You agree that you will not misuse our Platform. "Misuse" is any use, access, or interference with the Platform contrary to these Terms, our Privacy Policy, or applicable laws and regulations. We may, in our sole discretion, suspend or terminate access to all or part of the Platform for any User without prior notice or stated reasons. We reserve the right to deny Services to anyone at any time. In particular, you will not:
- send or post unauthorized commercial communications (such as spam) through the Platform;
- collect Users' content or information, or otherwise access the Platform, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our permission;
- upload viruses or other malicious code;
- post or transmit content that is illegal, hateful, obscene, threatening, incites violence, insulting, defamatory, infringes intellectual property rights, invades privacy, or is otherwise objectionable to Third-Parties;
- take any action that creates a disproportionately large usage load on our Platform unless expressly permitted by us;
- create more than one account or share your account with anyone, other than by assigning user access within the scope of your subscription plan;
- communicate any information or content that you have no right to make available under any law or contractual or fiduciary relationship, or that otherwise infringes or violates someone else's rights;
- encourage participation in or promote any contests, pyramid schemes, surveys, chain letters, spamming, or unsolicited email through the Site.
2.15 If your account, or any part of it, is suspended, banned, restricted, blocked, terminated or otherwise disabled by SDS Manager, you agree to abide by that decision. You may not create another account to bypass these limitations or try to circumvent any limitation on your account without our permission. Any attempt to do so may result in the termination of all current and future accounts you register.
(F) Contact
2.16 If you give us your email address, we may contact you about matters relating to the Services (Service emails). Service emails are not unsolicited commercial email advertisements, and you cannot opt out of them. You may opt in to emails about news, promotions, special offers, and other topics related to SDS Manager and our affiliates (Promotional emails), and you may unsubscribe at any time by following the instructions in those emails.
2.17 For questions or suggestions, contact us at support_en@mail.sdsmanager.com.
3. Intellectual Property and Customer Data
(A) Proprietary Rights
3.1 All Intellectual Property rights in the Platform and Content are the property of SDS Manager or are used under appropriate licenses or permissions. This does not include Customer Data, which belongs to you (Section 3.6). Nothing in these Terms transfers SDS Manager's Intellectual Property rights to you or any Third-Party.
3.2 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform. Except as expressly permitted in these Terms, you may not: copy, modify or create derivative works based on the Platform; distribute, transfer, sublicense, lease, lend or rent the Platform to any Third-Party; reverse engineer, decompile or disassemble the Platform; or make the functionality of the Platform available to multiple users through any means. Nothing in these Terms gives you or any other person any right to access or use our source code. We may modify, suspend or discontinue, temporarily or permanently, the Platform or any Service, with or without notice and without liability to you.
3.3 The Platform or parts of it may be made available or accessed together with Third-Party services and content (including advertising) that SDS Manager does not control. Different terms and policies may apply to your use of those Third-Party services and content. SDS Manager is not responsible or liable for any content or services of Third-Party providers.
(B) Confidential Information
3.4 During the term of this Agreement, you may provide Confidential Information to SDS Manager, and SDS Manager may disclose Confidential Information to you. Customer Data that is not public, including product and formulation data, is treated as your Confidential Information. Both Parties agree (i) to keep Confidential Information in strict confidence, (ii) to take all reasonable measures to protect it, (iii) not to disclose or otherwise make it available to any Third-Party without prior written consent, (iv) to use it only for its intended purposes, and (v) to return all Confidential Information, and any copies, extracts or derivative works, on written request or when the Agreement ends, and to destroy or erase all remaining copies in any form or media.
(C) Feedback and Suggestions
3.5 If you give us suggestions, comments, or other feedback about the Services (whether existing, suggested, or contemplated) that is or may be subject to Intellectual Property rights ("Feedback"), that Feedback is owned exclusively by SDS Manager, even after this Agreement ends. SDS Manager may use Feedback to (i) develop, customize and improve the Services, (ii) provide ongoing assistance and technical support, (iii) contact you with SDS Manager-related notices or interview requests, (iv) facilitate, sponsor and offer promotions and monitor performance, (v) create aggregated statistical and other aggregated or inferred information to provide and improve its services, (vi) enhance data security and fraud prevention, and (vii) comply with applicable laws and regulations. You (1) represent and warrant that your Feedback does not infringe any Third-Party rights, (2) irrevocably assign to SDS Manager any right, title, and interest you may have in the Feedback, and (3) irrevocably waive any claims relating to moral rights, artists' rights, or similar rights worldwide in the Feedback. Feedback does not include Customer Data.
(D) Customer Data
3.6 You own your Customer Data, including the safety data sheets you author or translate using the Services. SDS Manager does not acquire any ownership rights in Customer Data.
3.7 You grant SDS Manager a non-exclusive, royalty-free, worldwide license to host, store, copy, process and display Customer Data only as needed to provide, maintain, secure and support the Services for you, and to carry out your instructions (for example, when you choose to share or distribute safety data sheets through the Services).
3.8 We will not publish Customer Data or use it in marketing material. You warrant that you have the right to upload or enter Customer Data on the Platform, and that our use of it under these Terms will not infringe any Third-Party rights.
3.9 We do not monitor or pre-screen Customer Data. Content that is illegal, hateful, obscene, threatening, incites violence, insulting, defamatory, infringes intellectual property rights, invades privacy, contains graphic or gratuitous violence or is otherwise objectionable to Third-Parties is prohibited. We may remove any content that we find breaches these Terms or applicable laws. Please inform us immediately if you come across any illegal activity or activity that breaches these Terms. If you choose to share Customer Data with other people through the Platform, they may be able to access, copy or share it.
(E) Customer Name and Logo
3.10 By using our Services, you grant us a non-exclusive, royalty-free license to display your company name and logo on our website and marketing materials as part of a list of selected customers. We will not use any other information about you or your Customer Data for marketing. To opt out, email support_en@mail.sdsmanager.com and we will remove your name and logo promptly.
(F) Third-Party Content
3.11 Some content on the Platform, such as advertising, may be provided by Third-Parties. We do not monitor or control such content and are not responsible for it.
4. Payment and Pricing
4.1 Use of Services may be subject to fees as displayed on the Platform. Unless otherwise stated, all prices exclude VAT and other applicable taxes. If a Service is listed at an incorrect price because of a typographical or systems error, we may refuse or cancel any order placed at that price. If the incorrect price has already been paid, we will return the amount paid when we cancel the order.
4.2 Paid Services are billed as monthly or annual subscriptions. When subscribing, you can choose your payment method. If you pay by credit card, you must provide valid and current payment information, and you authorize us to charge your card for all fees payable during your subscription, including renewals. If you pay by invoice, amounts are due 30 days from the invoice date unless the invoice states otherwise. If an invoiced amount is not paid by the due date, we may charge interest at 1.0% per month or the maximum rate allowed by law, whichever is less.
4.3 We may change our prices. Price changes do not affect your current subscription period. They apply from your next renewal if published at least forty (40) days before your current period ends, and otherwise from the renewal after that.
4.4 All fees are non-refundable. We do not offer refunds, including for cancellation, unused time in a subscription period, renewals, downgrades, or unused users or features, except where required by applicable law. Section 4.1 (price errors) is not affected.
4.5 When you register for the Services for the first time, we may, but are not obliged to, offer a free trial. No payment method is required for a free trial. If you add a payment method to your account during the trial, we will automatically charge it when the trial ends and your paid subscription will start, unless you cancel before the trial ends as described in Section 2.13. If you switch from a free trial to a paid subscription before the trial ends, you forfeit the unused part of the trial. Data you added during the trial is kept when your account moves to a paid subscription.
5. User's Privacy
5.1 SDS Manager complies with the European Union regulation for processing personally identifiable information, and we aim to meet the highest technical and organizational standards for data handling.
5.2 Our Privacy Policy explains how we handle information about you. If you have questions about your rights or our privacy practices, contact us at support_en@mail.sdsmanager.com.
6. Term and Termination
6.1 The effective date of these Terms is shown at the top of this document. The Terms apply from your first access to the Platform and remain in force until your account is deleted or you stop using the Platform, subject to Section 6.3.
6.2 We may terminate your access to the Platform at any time, with or without reason and notice. We may also suspend your account and prevent you from registering a new account if you breach these Terms.
6.3 You may stop using the Platform at any time. Accounts can only be deleted by SDS Manager; to request deletion, email support_en@mail.sdsmanager.com. A deletion request also cancels your paid subscription, as described in Section 2.13. This Agreement remains in force until the end of any subscription period that has already started.
6.4 When this Agreement ends, all its provisions cease to apply between you and SDS Manager, except those that can reasonably be inferred to continue or are expressly stated to continue. After termination you will not be able to use the Services, and you must immediately pay any outstanding fees. SDS Manager is not responsible for any damage caused by termination of this Agreement.
7. Indemnity
7.1 You will indemnify and hold harmless SDS Manager and its employees and affiliates from and against any claims, disputes, demands, liabilities, damages, losses, costs and expenses, including reasonable legal and accounting fees, arising out of or connected with your access to or use of the Platform or your violation of these Terms.
8. Limitation of Liability
8.1 YOU AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY PROBLEMS OR DISSATISFACTION WITH THE SDS MANAGER SERVICES IS TO STOP USING THE SDS MANAGER SERVICES.
8.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SDS MANAGER, ITS EMPLOYEES, OFFICERS, SHAREHOLDERS, DIRECTORS, AGENTS, SUBSIDIARIES, AFFILIATES, SUCCESSORS, SUPPLIERS, ASSIGNS OR LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF YOUR ACCESS OR USE OR INABILITY TO ACCESS OR USE THE SDS MANAGER SERVICES, THIRD-PARTY APPLICATIONS OR THIRD-PARTY APPLICATION CONTENT, REGARDLESS OF LEGAL THEORY, EVEN IF SDS MANAGER HAS BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. IN NO EVENT SHALL SDS MANAGER'S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID SDS MANAGER, IF ANY, IN THE PAST ONE MONTH FOR THE SERVICES GIVING RISE TO THE CLAIM, TO THE EXTENT PERMITTED BY APPLICABLE LAW.
8.3 SDS Manager, its employees, agents and directors do not accept any liability, and you release us from any liability, arising directly or indirectly from information provided through the Platform, or any errors in or omissions from that information. SDS Manager is not liable for loss, direct or indirect, caused by your actions or decisions based on information provided through the Platform, or by delay, malfunction, or unavailability of the Platform. Although we strive for accuracy, we do not guarantee the exactness or accuracy of the Content.
9. Changes to these Terms
9.1 We may change or replace these Terms. We will email you at least thirty (30) days before a change takes effect and post the updated Terms on the Platform.
9.2 If you have a paid subscription, changes take effect at your first renewal date that falls at least thirty (30) days after our email. Until then, the Terms in force when your current subscription period started continue to apply.
9.3 If you use only free Services, changes take effect thirty (30) days after we email and post them. These Terms apply regardless of the device or operating system you use to access the Platform.
10. Governing Law and Choice of Forum
10.1 If you contract with SDS MANAGER AS, this Agreement is governed by the laws of Norway, and you submit to the exclusive jurisdiction of the courts of Norway.
10.2 If you contract with SDS Manager Inc., this Agreement is governed by the laws of the State of Delaware, United States, and you submit to the exclusive jurisdiction of the state and federal courts located in Delaware.
10.3 In both cases, conflict of law provisions and the UN Convention on Contracts for the International Sale of Goods do not apply. If you have a dispute with SDS Manager, you agree to contact us first and try to settle it through negotiation before going to court.
11. Final Provisions
11.1 If any part of these Terms is found to be invalid, illegal, or unenforceable, the rest of the Terms remain valid and enforceable.
11.2 Any failure to exercise or enforce a right or provision of this Agreement is not a waiver of that right or provision.
11.3 Neither Party may assign or transfer any right or obligation under this Agreement to a Third-Party without prior written consent, except to successors in the event of merger, sale, or liquidation of that Party.
11.4 These Terms, together with the Privacy Policy and Service Fulfillment Policy, are the entire agreement between you and SDS Manager regarding use of the Platform. Any separate written agreement signed between the Parties takes precedence over these Terms.
